These Terms of Service ("Terms") are a legal agreement between you and [BUSINESS LEGAL NAME], doing business as SoCal Neighbor Pass ("SoCal Neighbor Pass," "we," "us," or "our"), a business located at [BUSINESS ADDRESS, CITY, CALIFORNIA, ZIP]. These Terms govern your access to and use of the SoCal Neighbor Pass website, member accounts, and vendor portal (together, the "Service"). By creating an account, joining as a member, joining as a vendor, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Who Can Use SoCal Neighbor Pass
SoCal Neighbor Pass is built for adults, with a member community that skews 55 and older — but you must be at least 18 years old and able to form a binding contract to create an account, whether as a member or as a vendor. By creating an account, you confirm that you meet this requirement and that all information you provide is accurate and current.
2. The Service We Provide
SoCal Neighbor Pass offers:
- Membership— a free tier and a paid Premium tier ($4.99/month or $49/year, subject to change with notice) giving access to a directory of local business discounts ("Current Deals"), a community events calendar, and community resource listings.
- Vendor Portal — free to join, letting local businesses publish, edit, and manage their own coupon listings in the Current Deals directory, subject to our confirmation process described below. Each vendor gets one free coupon post per calendar month; additional posts in the same month cost $4.99 each (one-time), or a vendor may subscribe to Enterprise ($99/month, subject to change with notice) for unlimited posts.
We may add, change, or remove features of the Service at any time, and we'll do our best to give you reasonable notice of any change that materially reduces what's included in a paid tier.
3. Your Account
You're responsible for keeping your password confidential and for all activity that happens under your account. Tell us right away at [SUPPORT EMAIL]if you suspect unauthorized use of your account. We're not liable for any loss caused by someone else using your account without your permission, but you may be liable for losses we or others suffer because of it.
4. Fees, Billing, and Cancellation
Free membership and joining the Vendor Portal both require no payment. Premium membership and Vendor Enterprise are subscriptions billed in advance on a recurring basis (monthly or annually, depending on the plan) through our payment processor, Stripe. An extra coupon post beyond a vendor's free monthly post is a separate, one-time $4.99 charge, not a subscription. Prices are shown to you before you complete checkout.
Automatic renewal (subscriptions only). Premium membership and Vendor Enterprise renew automatically at the end of each billing period at the then-current price, until you cancel. You authorize us (through Stripe) to charge your payment method on file for each renewal. We will not change your subscription price without giving you advance notice as required by law. One-time coupon-post payments do not renew.
Cancelling is always self-service.You can cancel a subscription at any time, online, with no phone call required, from your account's "Manage Membership & Billing" or "Manage Billing" link, which opens Stripe's secure billing portal. Cancelling stops future charges; it does not refund amounts already billed for the current period, and your paid access continues through the end of the period you already paid for, unless we say otherwise or the law requires otherwise.
Failed payments.If a renewal payment fails, we (or Stripe) may retry the charge and/or notify you. If payment isn't resolved, we may downgrade or suspend the paid portion of your account.
No card data touches our servers.You enter your payment details directly on Stripe's own secure checkout and billing-portal pages — SoCal Neighbor Pass never sees or stores your full card number.
5. Vendor Portal Terms
If you sign up for the Vendor Portal, in addition to the terms above:
- You confirm that you are authorized to represent the business you're listing, and that the phone number and contact information you provide are accurate — we use that phone number to call and confirm your business before your listing goes live.
- You're solely responsible for the accuracy, legality, and honoring of every coupon, offer, discount, code, or SKU you publish. SoCal Neighbor Pass is a listing platform — we don't guarantee, warrant, or take responsibility for any offer a vendor publishes, and we're not a party to the transaction between a vendor and a member who redeems an offer.
- We may decline to publish, may hide, or may remove any listing at our discretion, including for inaccurate, misleading, unlawful, or expired offers.
- Your listing(s) will only appear publicly once our team has confirmed your business by phone; we may pause or deactivate a listing at any time.
- You get one free coupon post per calendar month. Posting an additional coupon in the same month requires a one-time $4.99 payment, unless you have an active Enterprise subscription, in which case posts are unlimited. Editing, hiding, or republishing a coupon you've already posted doesn't count as a new post and is always free. A coupon you've paid to post (through the free monthly post, a $4.99 payment, or while subscribed to Enterprise) stays posted according to its own expiration date even if you later cancel Enterprise — payment governs the right to post a coupon, not ongoing access to ones already posted.
6. Coupons, Offers, and Third-Party Businesses
SoCal Neighbor Pass shows you offers from independent local businesses. We are not responsible for the quality of goods or services provided by any business listed on the Service, for whether a business honors a listed offer, or for any dispute between you and a business. Offers are subject to change or expire without notice at the discretion of the participating business.
7. Community Events
Events listed on SoCal Neighbor Pass may be hosted by SoCal Neighbor Pass, by member businesses, or by community partners at third-party venues. You attend any event at your own risk. SoCal Neighbor Pass is not responsible for the conduct of other attendees, hosts, or venues.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or to harass, abuse, or harm another person;
- Provide false information when creating a member or vendor account;
- Attempt to access another member's or vendor's account or data without authorization;
- Publish a coupon, offer, or listing you don't have the authority to offer;
- Interfere with or disrupt the Service, or attempt to bypass any access or billing controls;
- Scrape, resell, or republish the Service's content at scale without our written permission.
We may suspend or terminate your account for violating this section.
9. Intellectual Property
The SoCal Neighbor Pass name, logo, and the design and content of the Service (excluding content submitted by vendors or drawn from third parties) belong to us or our licensors. You may use the Service for its intended personal or business purpose, but you may not copy, modify, or redistribute it without our permission.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We don't guarantee the Service will be uninterrupted, error-free, or secure.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOCAL NEIGHBOR PASS AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Nothing in these Terms limits liability that cannot be limited under California law.
12. Indemnification
You agree to defend and indemnify us against claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Service, or (for vendors) any offer or listing you publish.
13. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access for violating these Terms, non-payment, or any reason with reasonable notice, except where we believe immediate action is necessary to protect the Service or other users.
14. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we'll post the updated Terms here with a new "Last updated" date and, where required by law, provide additional notice. Continuing to use the Service after a change takes effect means you accept the updated Terms.
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a claim, you agree to first contact us at [SUPPORT EMAIL] so we can try to resolve the issue informally.
